These Terms of Service govern your access to and use of www.surgie.com, Surgie customer accounts, streaming areas, memberships, digital purchases, creator channels, communications and all related products, features and services collectively referred to as the Services.

The Services are operated by RECONSTRUCAO OSSEA LTDA, registered under , doing business as Surgie, Rio de janeiro ,Brazil.

In these Terms, Surgie, we, us and our refer to the operator of the Services. You refers to any visitor, account holder, purchaser, member, learner, creator, expert, channel operator, institution or other user of the Services.

By accessing the Services, creating an account, purchasing digital access, beginning a subscription or otherwise using Surgie, you agree to these Terms and to the policies incorporated by reference. If you do not agree, do not access or use the Services.

Additional written terms may apply to creators, experts, channels, institutions, events, promotional offers or particular products. When a separate written agreement conflicts with these Terms, the more specific agreement controls for the relevant subject.

1. Eligibility and professional audience

You must be at least 18 years old and legally capable of entering into a binding contract to create an account or purchase through the Services. An institution may authorize eligible users to access the Services under a separate agreement.

The Services are designed primarily for surgeons, physicians, medical trainees, healthcare professionals and other adult learners interested in surgical education.

You must provide accurate, current and complete information. You may not impersonate another person, misrepresent your qualifications, specialty, professional credentials, institutional affiliation or authority to use an account.

2. Nature of the Services

Surgie is a digital surgical education and streaming platform. Depending on the offer, the Services may include:

• free surgical video previews;
• free educational content available to registered users;
• one-time purchases of streaming access;
• recurring memberships or subscriptions;
• member pricing, credits or promotional balances;
• recorded or live educational sessions;
• downloadable guides, PDFs or supplementary materials;
• creator, expert or institutional channels;
• captions, translations, dubbed narration or other accessibility features; and
• related educational, community and support features.

The product page and checkout confirmation identify the price, currency, access period, included materials, billing frequency and other material conditions of the applicable purchase.

Content, features, prices, languages and availability may differ based on country, market, device, account status, licensing restrictions and creator permissions.

3. Medical and professional disclaimer

Surgie provides education, not medical care.

The Services do not provide medical advice, diagnosis, treatment, emergency assistance, patient-specific recommendations, surgical supervision, professional credentialing or authorization to perform any procedure.

Accessing Surgie does not create a physician-patient relationship, supervisor-trainee relationship, hospital-professional relationship or other clinical relationship between you and Surgie, a creator, an expert or any other content provider.

Surgical videos and related materials reflect the techniques, decisions, experience and professional judgment of the contributing professionals in the circumstances presented. Content may not represent every accepted technique, current guideline, device instruction, regulatory requirement, anatomical variation, complication or clinical scenario.

You must not perform, recommend or modify a clinical procedure solely because you viewed content through Surgie. Clinical decisions and procedures must be based on your qualifications, formal education, supervised experience, current evidence, applicable laws, institutional policies, device instructions, patient circumstances and independent professional judgment.

Surgie does not guarantee that use of the Services will result in learning, competency, certification, credentialing, successful performance or any particular patient outcome.

Unless expressly stated in writing, Surgie content does not provide accredited continuing medical education credit and is not a substitute for a residency program, fellowship, simulation laboratory, cadaveric training, supervised operative experience or qualified mentorship.

Certificates issued by Surgie ordinarily confirm participation, access or completion only. They do not represent a professional license, specialty qualification, credential, hospital privilege or authorization to perform a procedure unless expressly stated by an authorized accrediting organization.

4. Accounts and account security

You are responsible for maintaining the confidentiality of your login credentials, restricting access to your devices and controlling all activity performed through your account.

Accounts, memberships, purchases and content entitlements are personal to the authorized account holder unless an institutional or business plan expressly allows multiple users.

You may not sell, transfer, rent, sublicense or share your account or credentials. You may not allow unauthorized simultaneous access.

Notify hello@surgie.com promptly if you suspect unauthorized access, credential theft or misuse of your account.

To protect users, payments and licensed content, Surgie may require identity or account verification, reset credentials, limit simultaneous sessions, invalidate active sessions or temporarily restrict account access.

5. Orders, prices, payments and taxes

Prices, currencies, discounts, taxes and payment terms are displayed before checkout. You authorize Surgie and the applicable payment provider to charge the selected payment method for the confirmed order total.

Currency conversion charges, card issuer charges, foreign transaction charges and similar financial-institution fees may be imposed by your provider and are not controlled by Surgie.

An order is subject to payment authorization and acceptance. Surgie may reject or cancel an order before access is granted when:

• payment cannot be authorized;
• the transaction appears fraudulent or unauthorized;
• the price or product information contains an obvious material error;
• the product or required rights are unavailable;
• a legal, regulatory, licensing or territorial restriction applies; or
• information reasonably required to complete or protect the transaction cannot be verified.

If Surgie cancels a paid order in these circumstances, amounts collected for the cancelled item will be refunded as required by applicable law.

Discounts, credits and promotional offers are subject to the conditions displayed with the offer. They may have eligibility, market, product, account, time or usage restrictions and ordinarily have no cash value.

6. Digital access and license

A purchase grants you a limited, personal, revocable, non-exclusive and non-transferable license to access the purchased digital content for educational purposes during the access period stated in the offer.

A purchase grants access under license. It does not transfer ownership of the video, course, recording, document, methodology, software or intellectual property.

Free previews may be limited by duration, percentage, account status or another access rule. Attempting to bypass a preview limit is prohibited.

If a product does not state a fixed access period, access generally continues while the applicable content and Service remain commercially available, subject to these Terms, licensing rights, creator permissions and reasonable platform changes.

The word lifetime applies only when expressly stated in the offer. Where used, it refers to the commercial availability of the applicable content or service and not to the lifetime of any individual.

Content may be corrected, updated, restricted, replaced or removed because of:

• creator or licensor rights;
• patient privacy or confidentiality concerns;
• legal or regulatory requirements;
• technical, security or accessibility requirements;
• clinical safety concerns;
• content quality standards; or
• discontinuation of a feature or service.

If paid content becomes materially unavailable, Surgie will provide any remedy required by applicable law and may, where appropriate, restore access, provide reasonably equivalent content, issue credit or refund the affected purchase.

Downloads are permitted only when an authorized download control is expressly enabled. Downloaded materials remain subject to these Terms and may not be redistributed.

7. Subscriptions and recurring memberships

A subscription automatically renews at the billing interval and recurring price confirmed at checkout until it is cancelled.

By purchasing a subscription, you authorize Surgie and its payment providers to process recurring charges using the payment method associated with the subscription.

You may cancel future renewals as described in the Subscription Policy.

Refund eligibility for subscription and one-time charges is described in the Refund and Cancellation Policy.

8. Credits and promotional balances

Credits, promotional balances and service adjustments are governed by the conditions displayed when they are issued.

Unless applicable law requires otherwise, credits:

• are not legal tender or cash;
• cannot be withdrawn or redeemed for cash;
• cannot be sold or transferred;
• may be limited to specified products, channels or accounts; and
• may expire only where an expiration date was lawfully and clearly disclosed.

If a transaction paid with credits is validly refunded, Surgie may restore the corresponding amount as credits. Any eligible cash portion will ordinarily be returned through the original payment method.

9. Acceptable use and prohibited conduct

You may not, directly or indirectly:

• share credentials or enable unauthorized account access;
• copy, reproduce, download, screen-record, photograph, capture, retransmit, broadcast, publicly display, publish, sell, sublicense or redistribute Surgie content except where expressly authorized;
• circumvent paywalls, preview limits, authentication, digital rights management, watermarks, geographic restrictions or other access controls;
• scrape, crawl, index, harvest, mirror, frame or systematically extract content, metadata, user information or platform data without written authorization;
• use Surgie content or data to train, fine-tune, evaluate, ground or supply an artificial-intelligence model, machine-learning model, dataset or automated content system without prior written permission;
• reverse engineer, decompile or attempt to derive source code from the Services except where applicable law expressly permits it;
• interfere with, overload, disrupt or impair the Services;
• introduce malware, malicious code or harmful automated activity;
• test for vulnerabilities or attempt unauthorized access without written authorization;
• remove ownership, copyright, attribution, privacy, consent or confidentiality notices;
• identify or attempt to identify a patient depicted or discussed in educational content;
• create, combine or disclose information that could identify a patient;
• misrepresent credentials, affiliations, endorsements, outcomes or the source of content;
• use the Services for unlawful, fraudulent, infringing, discriminatory, harmful or clinically unsafe activity; or
• assist another person in carrying out prohibited conduct.

10. Patient privacy and clinical confidentiality

Do not submit patient names, medical record numbers, identifiable images, protected health information, sensitive clinical information or other patient-identifiable data through general account fields, checkout fields, reviews, comments, forms, surveys, support emails or community features.

Do not attempt to identify patients depicted or discussed in surgical content.

You must comply with professional confidentiality obligations, institutional rules and applicable health-data, medical-record and privacy laws.

A creator or content provider submitting clinical material must hold all intellectual-property rights, institutional approvals, patient consents, releases and other lawful authorizations required for recording, processing, editing, translating, publishing and distributing the content.

Surgie may request evidence of authorization and may reject, restrict or remove content when patient privacy, consent, confidentiality, safety or legal rights are in question.

11. Creators, experts, channels and submissions

Creators, experts and channel operators are responsible for the professional accuracy, legal authorization and integrity of the content they submit.

Unless Surgie expressly states otherwise, creators and experts are independent content providers. Their views, techniques and statements do not necessarily represent the views of Surgie.

Creator and channel content is primarily governed by the applicable creator, channel, licensing or institutional agreement.

If you submit a profile, review, comment, question, image, video, document, translation, metadata, feedback or other material, you represent that:

• you have all rights and permissions required to submit it;
• it is accurate to the best of your knowledge;
• it is lawful and non-infringing;
• it does not breach confidentiality or privacy obligations; and
• it does not contain patient-identifiable information unless an expressly approved secure workflow and written agreement apply.

To the extent that no separate agreement governs a submission, you grant Surgie a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, translate, technically adapt, display and distribute the submission only as reasonably necessary to operate, secure, improve and promote the Services and the submitted content.

You retain any ownership you otherwise hold in your submission.

Surgie may moderate, reject, restrict or remove submissions that violate these Terms or create a legal, privacy, clinical, security or reputational risk.

12. Intellectual property

The Surgie platform, software, interfaces, visual design, text, graphics, compilations, trademarks, logos and Surgie-produced materials are owned by or licensed to Surgie and are protected by intellectual-property laws.

Surgical videos, educational materials and creator assets may be owned by their respective creators or licensors and made available through Surgie under license.

No right is granted except the limited access license expressly stated in these Terms or in a specific written agreement.

The Surgie name, logos and associated branding may not be used in a way that suggests sponsorship, endorsement, certification or affiliation without prior written permission.

13. Copyright, privacy and rights complaints

If you believe that content available through the Services infringes a copyright, trademark, privacy right, image right, confidentiality obligation or other legal right, email hello@surgie.com.

Your notice should include:

• information sufficient to identify the relevant content;
• a description of the right concerned;
• your contact information;
• your authority to act for the rights holder, if applicable; and
• a good-faith explanation of the complaint.

Do not include unnecessary patient-identifiable or sensitive clinical information.

Surgie may request verification and may temporarily restrict content while reviewing a substantiated complaint.

14. Third-party services and links

The Services rely on third-party providers for commerce, payment processing, subscriptions, accounts, hosting, video delivery, analytics, communications, support, fraud prevention and security.

Third-party services may have separate terms and privacy notices. Surgie is not responsible for an independent third-party service beyond the obligations imposed on Surgie by applicable law.

Links to external websites do not necessarily constitute endorsement. Review the applicable third-party terms and privacy notices before using an external service.

15. Availability, maintenance and service changes

Surgie aims to provide reliable access but does not guarantee uninterrupted or error-free operation.

Maintenance, internet conditions, device limitations, provider outages, cyber incidents, legal restrictions and events outside Surgie's reasonable control may affect availability.

Surgie may update, improve, replace or discontinue features prospectively. When required by law or when a change materially affects an active paid commitment, Surgie will provide applicable notice and remedies.

16. Suspension and termination

You may stop using the Services at any time. Subscription cancellation is governed by the Subscription Policy.

Surgie may suspend, restrict or terminate access when reasonably necessary to address:

• non-payment or failed recurring charges;
• fraud or unauthorized transactions;
• credential sharing or unauthorized concurrent access;
• content copying, piracy or access-control circumvention;
• patient privacy or confidentiality risks;
• security threats or malicious activity;
• unlawful conduct;
• a material breach of these Terms; or
• a legal, regulatory or institutional requirement.

Where appropriate, Surgie will provide notice and a reasonable opportunity to correct the issue. Immediate action may be taken when required to address a serious privacy, security, legal, payment or clinical-safety risk.

Termination does not eliminate accrued payment obligations or provisions that by their nature should survive, including intellectual-property restrictions, confidentiality obligations, disclaimers, liability provisions and dispute terms.

Mandatory consumer and refund rights remain unaffected.

17. Disclaimers

To the maximum extent permitted by applicable law, the Services and content are provided on an as available basis.

Surgie does not warrant that every technique, statement, translation, caption, device reference, document or resource is complete, current, appropriate for a particular patient or free from error.

Educational content must be independently evaluated by appropriately qualified professionals.

Nothing in these Terms excludes a warranty, guarantee, remedy or liability that cannot lawfully be excluded or limited.

18. Limitation of liability

To the maximum extent permitted by applicable law, Surgie and its directors, personnel, contractors and licensors will not be liable for indirect, incidental, special, punitive or consequential losses, loss of profits, loss of opportunity or loss of data arising from use of the Services.

Where liability may lawfully be limited, Surgie's aggregate liability arising from a particular product or service will not exceed the amount you paid for the affected product or, for a recurring claim, the amount paid to Surgie during the 12 months preceding the event giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, liability that cannot lawfully be excluded, or mandatory consumer, privacy, personal-injury or statutory rights.

19. Responsibility of business and professional users

To the extent permitted by law, a creator, channel operator, institution or user acting for business or professional purposes is responsible for losses and third-party claims caused by that party's unlawful submission, infringement, breach of patient confidentiality, credential misrepresentation, unauthorized redistribution or material violation of these Terms.

This section does not impose an obligation or liability that applicable consumer law prohibits.

20. Governing law and disputes

These Terms are governed by the laws of Brazil, without excluding mandatory consumer or statutory protections that apply in your country of residence.

Before filing a formal claim, contact hello@surgie.com so the parties can attempt to resolve the issue directly.

For consumers, jurisdiction and venue are determined by mandatory consumer and procedural law, including any right to bring a claim before the competent forum of the consumer's domicile.

Nothing in these Terms requires a consumer to waive a non-waivable right or accept an exclusive forum that applicable law does not permit.

21. Changes to these Terms

Surgie may update these Terms to reflect legal, regulatory, security, operational or service changes.

The revised version will be posted with an updated effective date. Material changes affecting an active paid service will receive additional notice when required by law.

Surgie will request express consent to updated terms when applicable law requires it.

22. General provisions

If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver.

You may not assign or transfer your account or rights without Surgie's written consent.

Surgie may assign these Terms as part of a financing, reorganization, merger, acquisition or transfer of the relevant business, subject to applicable law.
